1 About these Terms

1.1 These Terms & Conditions (Terms) govern access to and use of Say Cheese, including its website, event galleries, QR-code experiences, account areas, image and video upload tools, download tools and related services (together, the Platform).

1.2 The Platform is operated by TechKnowlogy Consulting Ltd, a company registered in England and Wales (TechKnowlogy, Say Cheese, we, us or our).

1.3 These Terms apply to Event Hosts, Participants and other users of the Platform. Additional commercial terms, order forms or plans may apply to an Event Host. If there is a conflict, an agreed written order form or business agreement takes priority for the relevant Event Host, followed by these Terms.

1.4 Our Privacy Policy explains how personal data is handled. Any cookie notice or cookie policy displayed on the website also forms part of the information provided to users, but does not override these Terms.

2 Definitions

2.1 Business Account means an account selected or purchased for use by a company, organisation, charity, venue, professional, sole trader or other person acting for commercial, organisational or promotional purposes.

2.2 Business Event means an Event connected to a Business Account.

2.3 Consumer Account means an account purchased by an individual acting wholly or mainly outside their trade, business, craft or profession.

2.4 Consumer Event means a private Event connected to a Consumer Account, such as a wedding, birthday, anniversary, family gathering or private celebration.

2.5 Content means Images, captions, comments, text and other material submitted to or generated through the Platform.

2.6 Event means the occasion, gathering, campaign or activity for which an Event Host uses Say Cheese.

2.7 Event Gallery means the digital collection of Content associated with an Event.

2.8 Event Host means the person or organisation that purchases, creates, controls or administers an Event through Say Cheese.

2.9 Images means photographs, videos, live images, GIFs and other visual or audiovisual media uploaded to the Platform.

2.10 Participant means a person who accesses an Event, scans an Event QR code, uploads Content, appears in submitted Images or otherwise interacts with an Event Gallery.

2.11 Permitted Purpose means the use allowed for the applicable Event type under these Terms.

2.12 Terms means this document, including its schedules, as updated from time to time.

3 Who may use Say Cheese

3.1 You must be at least 18 years old to purchase an Event or create an Event Host account. Individuals under 18 may participate only with the knowledge and permission of a parent or legal guardian and subject to clause 16.

3.2 By using the Platform, you confirm that you have legal capacity to agree to these Terms or that an authorised person agrees on your behalf.

3.3 A person accepting these Terms for a business or organisation confirms that they have authority to bind that entity.

4 Acceptance and electronic agreement

4.1 You accept these Terms when you tick an acceptance box, create or purchase an Event, access a protected Event Gallery, upload Content after being shown the relevant notice, or otherwise take an action that the Platform clearly states constitutes acceptance.

4.2 For Business Events, permission for promotional use of a Participant's likeness must be requested prominently and separately from general acceptance where the Platform presents a separate consent control. A consent control must not be pre-ticked.

4.3 We may record the Terms version, Event identifier, date and time, device or browser information and IP address or similar technical evidence where lawful, in order to demonstrate acceptance and protect the Platform, Event Hosts and Participants.

4.4 Scanning a QR code by itself does not grant unlimited rights. The rights granted depend on the notice and choices shown before submission and on whether the Event is a Consumer Event or Business Event.

5 How the Platform works

5.1 Say Cheese enables Event Hosts to create Event Galleries and enables Participants to submit Images and other Content through a web link or QR code.

5.2 The Event Host controls the Event, selects the account type and is responsible for accurately describing the Event and intended uses of Content.

5.3 TechKnowlogy provides the technology platform. We do not organise the Event, direct photography at the Event, select the people appearing in Images or determine the Event Host's independent use of downloaded Content.

5.4 Features, storage limits, availability periods and download functionality may vary by plan and may be described at checkout or in an order form.

6 Event types and account classification

6.1 An Event Host must select the correct account type. A Consumer Account must not be used for a business, brand, venue, commercial campaign, professional event or organisational marketing.

6.2 A Business Account must be selected where Images may be used to advertise, market, promote or publicise an organisation, venue, brand, service, product or future event.

6.3 We may reclassify an Event, suspend functionality or require payment of the correct fee if an Event Host has selected an inappropriate account type.

7 Participant accounts and access

7.1 Participants must keep Event links, passwords and access codes reasonably secure and must not deliberately provide access to an unauthorised person.

7.2 An Event Gallery may contain Content submitted by other people. Access does not transfer ownership of that Content or permit use outside these Terms.

7.3 Participants are responsible for activity carried out through their device or credentials unless caused by our breach of duty.

8 Uploading Content

8.1 You may upload Content only where you have the right to do so and where the upload does not breach law, contract, confidence, privacy, copyright, data protection or any other person's rights.

8.2 You must not upload Content secretly obtained in circumstances where a person would reasonably expect privacy.

8.3 You are responsible for reviewing Content before submission and for removing location data or other metadata you do not wish to share. We may remove or transform metadata as part of normal processing but do not guarantee that all metadata will be removed.

8.4 You must not represent that another person has consented where they have not.

9 Prohibited Content and conduct

9.1 You must not upload, share or use Content that is unlawful, threatening, abusive, harassing, defamatory, fraudulent, discriminatory, hateful, obscene, sexually explicit, exploitative, invasive of privacy or likely to cause serious distress.

9.2 You must not upload intimate images without the fully informed agreement of every identifiable adult depicted, and no sexualised image of a child may be uploaded under any circumstances.

9.3 You must not upload malware, interfere with security, scrape the Platform, attempt unauthorised access, overload the service, reverse engineer protected parts of the Platform or use automated systems except as expressly authorised.

9.4 You must not use Content to train facial recognition or biometric identification systems, create deepfakes, infer sensitive characteristics, or make misleading endorsements without separate lawful authority and our written permission.

10 Ownership of Content

10.1 As between you and us, you retain any copyright and other rights you hold in Content you upload.

10.2 Uploading Content does not guarantee that you own copyright. Copyright may belong to the photographer, employer or another rights holder. You must obtain any necessary permission before upload or use.

10.3 Rights in a person's image, privacy and personal data are separate from copyright. A copyright licence does not remove obligations under data protection, privacy, advertising or consumer law.

11 Licence to TechKnowlogy Consulting Ltd

11.1 You grant us a worldwide, non-exclusive, royalty-free licence for the duration reasonably required to host, copy, transmit, display, resize, compress, back up, moderate and otherwise process Content solely to provide, secure, maintain and support the Platform, comply with law and enforce these Terms.

11.2 This licence allows us to use service providers acting on our instructions, including hosting, storage, content delivery, security, support and communications providers.

11.3 We will not use a Participant's Images in our own public marketing merely because they were uploaded to an Event. Separate permission is required for any such use by TechKnowlogy.

12 Licence to Consumer Event Hosts

12.1 For a Consumer Event, each uploader grants the Consumer Event Host a non-exclusive, royalty-free licence to download, store, reproduce, print, display and share submitted Images for personal and household purposes connected with the Event.

12.2 Permitted Consumer uses include private albums, photobooks, personal slideshows, keepsakes, sharing with family and friends and posting on personal social media accounts.

12.3 A Consumer Event Host must not sell Images, license them for advertising, use them to promote a business, use them in paid campaigns or otherwise exploit them commercially without obtaining separate permission from the relevant rights holders and identifiable individuals.

12.4 Purely personal or household use may fall outside parts of UK data protection law, but that does not permit unlawful, defamatory, harassing or privacy-invasive use.

13 Licence and image release for Business Events

13.1 For a Business Event, and only after the Participant has been shown the Business Event notice and has taken the required affirmative action, the Participant grants the Business Event Host a non-exclusive, worldwide, royalty-free licence to download, store, reproduce, crop, resize, edit, display, publish and distribute submitted Images for the Permitted Business Purposes in clause 13.2.

13.2 Permitted Business Purposes are the promotion, publicity and reporting of: (a) the specific Event; (b) recurring or substantially similar events organised by the same Event Host; and (c) the Event Host's directly related activities, venues or event services, using websites, organic social media, email newsletters, brochures, press releases, event recaps, presentations, venue displays and promotional videos.

13.3 The Participant agrees that their name need not be credited and that no fee or royalty is payable for permitted use unless separately agreed.

13.4 The Participant permits reasonable technical and editorial changes, including cropping, resizing, colour correction, captions and combination with other material, provided the result is not defamatory, materially misleading, discriminatory or likely to cause unjustified harm.

13.5 Where consent is the lawful basis for the Event Host's use of an identifiable person's Image, the Participant may withdraw consent for future use by contacting the Event Host or using the contact route described in the relevant privacy information. Withdrawal does not retrospectively make prior lawful use unlawful.

13.6 The Event Host must take reasonable steps to stop new use following a valid withdrawal request. Content already printed, lawfully published, distributed, archived for legal purposes or independently reshared by third parties may not be fully retrievable, but the Event Host must act reasonably and comply with applicable law.

14 Important limits on Business Host use

14.1 The Business Event licence does not permit sale of Images as stock photography, use in political campaigning, use in a sensitive or controversial context, biometric identification, endorsement of unrelated products or services, or licensing to unrelated third parties for their own advertising.

14.2 Paid advertising, out-of-home advertising, product packaging, merchandising, sponsorship campaigns, recruitment advertising or use extending beyond the Event Host and its directly related events should be covered by a separate, specific release unless clearly and separately disclosed at the point of consent.

14.3 An Event Host may use an agency or contractor to prepare material on its behalf, but remains responsible for that provider and must restrict the provider to the Event Host's permitted purposes.

14.4 Nothing in these Terms overrides a person's statutory rights or permits an Event Host to use Content where consent or another lawful basis is invalid or where use would be unfair or unlawful.

15 People appearing in uploaded Images

15.1 An uploader may submit Images containing other adults only where the uploader reasonably believes those people understand that photography is taking place and have not objected, and where the Event notice provides fair information about the intended use.

15.2 For prominent, posed or featured individuals at a Business Event, the Event Host should obtain direct permission from the identifiable individual before promotional use. An uploader cannot grant data protection consent on behalf of another competent adult.

15.3 Crowd and background Images may require a different lawful basis and risk assessment. The Business Event Host is responsible for deciding and documenting the appropriate lawful basis, notices and safeguards.

16 Children and vulnerable individuals

16.1 Children's personal data merits particular protection. An Event Host must not rely on a child to provide consent where the child does not have sufficient understanding or where parental or guardian permission is required.

16.2 Business Event Hosts must establish an appropriate process for parental or guardian permission before using a clearly identifiable child as the focus of promotional material, and must provide child-appropriate privacy information where required.

16.3 Images of children must never be used in a sexualised, exploitative, humiliating, unsafe or misleading context. Event Hosts should avoid publishing identifying details such as a child's full name, school or precise location unless necessary and lawful.

16.4 We may remove or restrict access to Images involving children or vulnerable individuals where we reasonably believe there is a safeguarding, privacy or legal concern.

17 Event Host obligations

17.1 Every Event Host must provide accurate event information, select the correct account type, ensure appropriate signage or notices are used and give Participants a genuine opportunity to understand how Images may be used.

17.2 An Event Host must maintain a contact route for privacy and removal requests and must respond within the time required by applicable law.

17.3 An Event Host must not pressure or penalise a person for declining optional promotional use. Where participation in the Event can reasonably be provided without promotional consent, the Event Host should provide that choice.

17.4 An Event Host must use downloaded Content only for the applicable Permitted Purpose and must implement reasonable access controls, retention practices and security measures.

17.5 An Event Host is responsible for its employees, contractors, agencies and other users with access to Event Content.

18 Business Event Host warranties and indemnity

18.1 A Business Event Host warrants that it will comply with UK GDPR, the Data Protection Act 2018, applicable privacy and e-privacy rules, advertising standards, intellectual property law and all other laws relevant to its use of Content.

18.2 The Business Event Host is normally an independent controller for its decision to collect, download and use Images for its own purposes. TechKnowlogy may act as a processor for certain hosting activities and as an independent controller for account administration, security, billing and legal compliance, as described in the Privacy Policy and any data processing terms.

18.3 The Business Event Host must conduct any legitimate interests assessment, data protection impact assessment or balancing exercise required for its intended use.

18.4 To the extent permitted by law, a Business Event Host will indemnify TechKnowlogy against third-party claims, regulatory action, losses and reasonable costs arising from the Host's unlawful or unauthorised use of downloaded Content, breach of these Terms or failure to honour valid rights requests, except to the extent caused by TechKnowlogy's own breach.

19 Moderation, reporting and removal

19.1 We may use automated and manual measures to detect abuse, but we do not undertake to review every item of Content before publication.

19.2 We may remove, disable, quarantine or restrict Content where we reasonably believe it breaches these Terms, infringes rights, creates a safeguarding or security risk, or must be removed by law.

19.3 A person may report Content using the contact information in clause 37. Reports should identify the Event, Image and reason for concern.

19.4 Removal from the Platform does not automatically remove copies already downloaded, printed or independently shared. The relevant Event Host is responsible for downstream copies under its control.

19.5 Screening applied today. Every Image and video submitted to the Platform is automatically screened against a known-bad image hash database before it can be published. This is a hash-matching check rather than an artificial intelligence classifier. Where the check cannot be completed, the item is withheld rather than published.

19.6 Human moderation. Where an Event is set to pre-publication moderation, no item appears in the Event Gallery or on a live display until a moderator has approved it. Where an Event is set to post-publication moderation, items appear on submission and are reviewed following a report or the Event Host's own review. The Event Host chooses the setting for its Event.

19.7 Moderators. Moderation may be carried out by Say Cheese personnel, by volunteers engaged by us, or by the Event Host's own team. Everyone given moderation access is aged 18 or over and is bound by a written confidentiality and data protection undertaking.

19.8 Future use of artificial intelligence. We may introduce artificial intelligence or machine learning tools to assist moderation, including automatic detection of nudity, sexual content, violence, weapons, hateful material, images that appear to show children, and other Content prohibited by clause 9. We will update these Terms and our Privacy Policy before such tools are applied to live Events.

19.9 Human oversight of automated decisions. Where an automated or artificial intelligence tool blocks, restricts or removes Content, that decision may be reviewed by a person on request using the contact route in clause 37. We do not take decisions producing legal effects, or similarly significant effects, on an individual by solely automated means within the meaning of Article 22 of the UK GDPR.

19.10 Limits of automated tools. Automated and artificial intelligence tools are not perfect. They may restrict acceptable Content or fail to detect Content that breaches these Terms. They supplement, and do not replace, the responsibilities of Participants under clause 9 and of Event Hosts under clause 17.

19.11 Training of models. We will not use Participant Content to train artificial intelligence models, whether our own or those of a third party, unless we have a lawful basis to do so and have given notice in these Terms and our Privacy Policy before doing so.

20 Privacy and data protection

20.1 Our Privacy Policy explains the personal data we process, our purposes and lawful bases, recipients, international transfers, retention and individual rights.

20.2 Photographs and videos may be personal data where an individual is identifiable. They are not automatically special category biometric data merely because they show a face; however, biometric processing for uniquely identifying a person is restricted and is not permitted under these Terms without separate written agreement and lawful authority.

20.3 Consent requests for promotional use should be prominent, specific, informed, unambiguous and separate from unrelated terms. Records of consent and withdrawal should be maintained where consent is relied upon.

20.4 The Event Host and TechKnowlogy will each respond to rights requests for processing for which they are responsible. We may redirect a request to the Event Host where the request concerns the Host's downloaded or independently used copies.

21 Retention, downloads and deletion

21.1 Platform retention periods depend on the Event plan and our Privacy Policy. The applicable Event availability period should be shown to the Event Host at purchase or in account information.

21.2 Event Hosts should download any authorised Content they wish to retain before expiry. We do not guarantee indefinite storage or recovery after deletion.

21.3 Deletion from active systems may not immediately remove encrypted backups. Backup copies may remain for a limited period and will not be restored except for disaster recovery or legal purposes.

21.4 Event Hosts must establish their own lawful retention period for downloaded Content and delete or anonymise it when no longer needed, subject to legitimate archival, legal and evidential requirements.

22 Platform availability and changes

22.1 We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, technical faults, third-party failures, security incidents and events outside our reasonable control may affect access.

22.2 We may modify features, limits, supported formats or technical requirements. We will give reasonable notice of material adverse changes to paid services where practicable.

22.3 Users should keep their own copies of important Content. Say Cheese is not a permanent archival service unless expressly agreed in writing.

23 Fees, purchases and subscriptions

23.1 Prices, taxes, payment timing, included features, storage limits and Event duration are shown at checkout or in an order form.

23.2 Fees are payable through the payment methods offered. You authorise the relevant payment provider to process the payment information supplied.

23.3 Unless stated otherwise, a purchase covers only the Event or subscription described. Additional storage, extensions, premium features or extra Events may incur additional fees.

23.4 Business prices may be exclusive of VAT. Consumer prices will be displayed in accordance with applicable consumer law.

24 Consumer cancellation rights

24.1 A Consumer Event Host may have a legal right to cancel a distance contract within 14 days, subject to statutory exceptions.

24.2 Where a Consumer asks us to begin providing digital services during the cancellation period, we may require an express request and acknowledgement that the right to cancel may be lost once the service is fully performed or digital content is supplied, to the extent permitted by law.

24.3 Nothing in these Terms limits statutory consumer rights relating to services not provided with reasonable care and skill, digital content that is faulty or other rights that cannot lawfully be excluded.

24.4 Specific cancellation and refund details must be displayed at checkout and should be checked against the actual product fulfilment process before publication.

25 Intellectual property in the Platform

25.1 The Platform, software, design, databases, branding, logos, text and documentation are owned by or licensed to TechKnowlogy and are protected by intellectual property law.

25.2 We grant users a limited, revocable, non-transferable right to use the Platform for its intended purpose in accordance with these Terms.

25.3 You must not copy, resell, sublicense, frame, reproduce or exploit the Platform except as expressly permitted.

27 Security

27.1 We use reasonable technical and organisational measures appropriate to the service, but no online service can guarantee absolute security.

27.2 Users must protect passwords and Event access codes, use secure devices and notify us promptly of suspected unauthorised access.

27.3 You must not test or probe Platform security without our prior written permission.

28 Suspension and termination

28.1 We may suspend or terminate access where reasonably necessary to protect users or the Platform, investigate suspected misuse, comply with law, address non-payment or enforce these Terms.

28.2 Where appropriate, we will provide notice and an opportunity to remedy a breach, but immediate action may be taken for serious illegality, security, safeguarding or infringement concerns.

28.3 Termination does not affect accrued rights, payment obligations or clauses intended to continue, including licences for prior lawful use, liability limits, indemnities and dispute provisions.

29 Disclaimers

29.1 The Platform is provided on an as-available basis. We do not warrant that every Image will upload successfully, that every format or device will be supported, or that Content will remain available indefinitely.

29.2 We do not verify the identity, authority or legal compliance of every Event Host or Participant and do not guarantee the accuracy, quality, suitability or lawfulness of user Content.

29.3 Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded, including mandatory consumer rights.

30 Limitation of liability

30.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of statutory rights that cannot be limited, or any other liability that cannot lawfully be limited or excluded.

30.2 For Consumers, we are responsible for loss or damage that is a foreseeable result of our breach or failure to use reasonable care and skill. We are not responsible for business losses suffered by a Consumer using the Platform for personal purposes.

30.3 For Business users, subject to clause 30.1, we are not liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill, reputation, data or any indirect or consequential loss.

30.4 For Business users, subject to clause 30.1, our total aggregate liability arising from an Event or subscription will not exceed the greater of: (a) the fees paid to us for that Event or subscription in the 12 months preceding the event giving rise to liability; and (b) GBP 100. This cap must be reviewed against your commercial insurance and pricing before publication.

30.5 We are not liable for an Event Host's independent use of Content after download, except to the extent that the loss is caused by our own breach of law or these Terms.

30.6 We are not liable for delay or failure caused by events beyond our reasonable control, provided we take reasonable steps to mitigate the effect.

31 Indemnity by users

31.1 A Business user will indemnify us as described in clause 18.4.

31.2 To the extent permitted by law, any user who knowingly uploads unlawful Content or materially infringes another person's rights will be responsible for resulting third-party claims and reasonable costs, except to the extent caused by our own breach.

31.3 This clause does not require a Consumer to indemnify us beyond what is fair and enforceable under applicable consumer law.

32 Events outside the United Kingdom

32.1 An Event Host using Say Cheese outside the United Kingdom is responsible for complying with local privacy, image rights, publicity, consumer and advertising laws.

32.2 The rights described in these Terms are contractual permissions only and do not guarantee that every proposed use is lawful in every jurisdiction.

32.3 International transfers of personal data are handled as described in the Privacy Policy and applicable data processing terms.

33 Complaints and disputes

33.1 Please contact us first so we can try to resolve a complaint. Complaints about an Event Host's own marketing use should also be sent directly to that Event Host.

33.2 Nothing prevents a person from complaining to the Information Commissioner's Office or another competent regulator where applicable.

33.3 Consumers may have access to alternative dispute resolution or other statutory remedies. We will provide legally required information where applicable.

34 Changes to these Terms

34.1 We may update these Terms to reflect changes in law, regulatory guidance, Platform functionality, security, business practices or user needs.

34.2 The version and effective date will be displayed at the beginning. Material changes will be notified through the Platform or by another reasonable method where required.

34.3 A new version will apply to new acceptance and future use. We will not retrospectively expand an Event Host's rights over previously submitted Images without an appropriate legal basis and, where necessary, renewed permission.

36 Governing law and jurisdiction

36.1 These Terms and any non-contractual obligations arising from them are governed by the law of England and Wales.

36.2 If you are a Consumer resident elsewhere in the United Kingdom or another country, you retain any mandatory protections and may be entitled to bring proceedings in your local courts.

36.3 Business users submit to the exclusive jurisdiction of the courts of England and Wales.
